TextMyTask is developed and operated by Coherive LLC, a limited liability company organized under the laws of the Commonwealth of Massachusetts ("Coherive," "we," "us," or "our"). "TextMyTask" means the TextMyTask iPhone app and the related service.

These Terms are an agreement between you and Coherive. By creating an account or using TextMyTask, you agree to them. If you do not agree, do not use the app.

Please read Section 5 (the messages you send), Section 6 (what your records are and are not), and Section 7 (door codes and other sensitive information) carefully. Those three sections describe responsibilities that are yours, not ours.


1. What TextMyTask is

TextMyTask helps the owner of a small trade business send work assignments to their crew by text message, capture the replies that come back, and keep a record of what was sent and what came back on each job.

What TextMyTask is not. It is not a scheduling service, a payroll system, a timekeeping system, a credential vault, or a system of record for employment or legal purposes. It does not verify that work was performed. The app records the messages you send and the replies you file — a reply is a message, not proof that a task was completed, and the app never treats it as one. Any conclusion about whether work was done is yours to draw.

It is not for emergencies. Text messages can be delayed or fail to deliver. Do not use TextMyTask to communicate anything urgent to anyone's health or safety.


2. Who can use it

You must be at least 18 years old and using TextMyTask for a business purpose. If you accept these Terms for a company, you represent that you have authority to bind that company, and "you" means both you and that company.


3. Your account

You provide your name and a working email address. Keep the email current — it is how we reach you about billing, service problems, and changes to these Terms.

You are responsible for what happens under your account and for the security of the device it is installed on.


4. Your plan and what it includes

Core. Messages are sent from your own phone through your own mobile carrier and your own plan. Your carrier's rates and terms apply to those messages, not ours. Message volume on Core is not limited by us.

Pro. Messages are sent and received through a dedicated business phone number we operate for you. Pro includes a monthly message allowance stated at the time of purchase. The allowance resets monthly and does not roll over. When you reach the allowance, the app will stop sending new messages until you purchase additional message credit or your allowance resets. Incoming messages are never discarded; when you are over your allowance, the sender receives a neutral notice that the message could not be delivered at that time.

Pro requires a registered business messaging number, which is subject to mobile carrier approval and takes time to complete. We cannot guarantee approval or a specific timeframe.

Features may change. We may add, modify, or discontinue features, and we will give you reasonable notice before removing something you are actively relying on.


5. Your responsibilities for the messages you send — READ THIS

TextMyTask is a tool you use to send your own messages to people you already have a relationship with. You are the sender. You choose every number, you write every message, and you decide when it goes out. That means:

a. Consent. You represent and warrant that, for every mobile number you enter into TextMyTask and every message you send through it, you have the recipient's prior consent to send them text messages at that number. In practice, that means each person is a member of your crew, a customer, or someone else who has agreed to receive texts from you about your work together.

b. No marketing. You will not use TextMyTask to send advertising, marketing, promotional, or solicitation messages of any kind. TextMyTask is for operational business communication only. Sending marketing messages through it violates these Terms and mobile carrier rules and may violate the law.

c. Opt-out. If a recipient asks you to stop texting them — by replying STOP, by telling you, or in any other way — you will stop immediately and remove their number.

d. Compliance. You will comply with all laws that apply to text messaging, including the Telephone Consumer Protection Act and its state equivalents, and with the messaging rules of the mobile carriers. Penalties under these laws can be significant and are assessed per message.

e. Prohibited content. You will not use TextMyTask to send anything unlawful, harassing, threatening, deceptive, hateful, sexually explicit, or infringing, and you will not send messages related to any category of content that mobile carriers prohibit.

f. Your workers' and customers' information. You are responsible for having the right to store and use the names, numbers, and other information you enter about other people, and for telling them how you use it if they ask.

g. You are responsible for your content. We do not review, monitor, edit, or approve the messages you send. What you send is yours.

h. Suspension. If we receive credible reports of unauthorized or abusive messaging from your account, or if a mobile carrier requires it, we may suspend your account or your messaging number, with notice where practical. Carriers can also block or filter messages on their own, without notice to either of us.


6. Your records, and what they are not

TextMyTask keeps a record of the messages you send and the replies you file so you can look back at what happened on a job. That record exists to help you run your business. It is not a legal or evidentiary record, and this section is explicit about the difference because the difference matters.

a. The records are yours. We claim no ownership of your content. You grant us only the limited permission necessary to store, transmit, and display it in order to operate the service for you.

b. Not a system of record for legal purposes. TextMyTask is not designed for, and must not be relied upon as, a system of record for any legal, evidentiary, regulatory, insurance, employment, licensing, or compliance purpose. We make no representation and give no warranty that records kept in TextMyTask are complete, accurate, unaltered, tamper-evident, verifiable, or admissible in any proceeding. If you may need to prove something later — to a customer, a worker, an insurer, a licensing board, or a court — do not rely on TextMyTask as your source. Keep your own independent documentation.

c. Records can be changed by you at any time. You can edit, re-file, archive, and delete records whenever you want. The app does not lock records, does not keep an audit trail of changes, and does not prevent a record from being altered after the fact. That is intentional, because the data is yours — but it means a TextMyTask record cannot demonstrate that it is unchanged, and no one should treat it as if it can.

d. Timestamps are limited, and you should understand how. A message you send carries the time the app sent it. A reply you file does not carry the time the sender actually sent it. The app only knows when you filed it, and labels it that way. Never read a filed reply's time as the time the message was sent, the time a worker was on site, or the time work was performed.

e. A reply is not completion. As stated in Section 1, a reply is a message, not evidence that work was done. The app never infers completion from a reply.

f. Availability, loss, and backups. On Core, your records live on your phone and only on your phone. We do not hold a copy and we cannot restore them. If your phone is lost, broken, wiped, replaced, or the app is deleted, those records are gone. On Pro, message records also live on our servers so they can reach your app; even so, we do not guarantee any particular retention period, uninterrupted availability, or that data will never be lost or corrupted. If your records matter to your business, keep your own backup.

g. We are not your recordkeeper. We have no obligation to preserve, retrieve, reconstruct, produce, authenticate, certify, or testify about your records for any dispute, audit, investigation, or proceeding, whether or not we are told one is coming. If we receive a subpoena or other lawful demand for data we hold, we will notify you where the law permits, but we will comply, and we may charge the reasonable cost of responding.

h. Deleting your account erases your data from your device. This cannot be undone by us or by you.


7. Sensitive information and access codes

Do not enter or send door codes, keypad codes, alarm codes, gate codes, lockbox combinations, safe combinations, key hiding places, passwords, account numbers, Social Security numbers, payment card numbers, or medical information through TextMyTask.

TextMyTask is a dispatch and recordkeeping tool. It is not a credential vault, it is not designed to protect that category of information, and it should not be used to hold it.

Understand what happens to anything you type into a job, a task, a note, or a set of standing instructions: it may be stored on your device, sent as an ordinary text message across mobile networks that neither you nor we control, delivered to your worker's phone, and kept on that phone indefinitely — including after that person stops working for you. On the Pro plan it is also stored on our servers.

A text message is not a secure channel, and it never becomes one. Once a message reaches a phone, it belongs to that phone.

If you need to give your crew access to a property, use a method built for that purpose, and change the code when someone leaves.

You are responsible for what you enter and what you send. To the fullest extent permitted by law, we are not liable for any loss, theft, property damage, personal injury, or other harm arising from access credentials or other sensitive information that you or anyone using your account enters into TextMyTask or sends through it, or from that information reaching a person you did not intend to reach, by any means.


8. Subscriptions, billing, and cancellation

All purchases are made through Apple. TextMyTask subscriptions are auto-renewing in-app purchases sold by Apple. We do not process payments and we do not see your payment information.

Auto-renewal. Your subscription renews automatically for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period. Apple charges your Apple Account within 24 hours of the end of the period.

Free trial. If a free trial is offered, cancelling before it ends avoids any charge. Apple's rules allow one free trial per customer across the subscription group. Any unused portion of a trial is forfeited if you purchase a subscription during the trial.

Cancelling. Manage or cancel your subscription in your Apple Account settings on your device. Deleting the app does not cancel your subscription. We cannot cancel it for you.

Refunds. Refunds are handled by Apple under Apple's policies. We do not issue refunds directly.

Price changes. We may change prices. Apple will notify you and, where required, ask for your consent before a changed price takes effect on a renewal.

If your subscription ends. You will no longer be able to create, send, or file. You will still be able to read your existing records on your device, and you can still delete or clean up your own data. Resubscribing restores full use.


9. Acceptable use of the app itself

Do not reverse engineer, decompile, or attempt to extract the source code of the app; do not resell, sublicense, or provide the service to third parties as your own; do not attempt to interfere with or gain unauthorized access to our systems; and do not use the app to build a competing product.


10. No warranty

TextMyTask is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business, lost revenue, lost or corrupted data, property damage, or the outcome of any dispute you have with a customer, a worker, an insurer, or any other third party — even if we were advised such damages were possible.

Our total liability to you for any claim arising out of or relating to TextMyTask is limited to the greater of (a) the amount you paid us in the twelve months before the claim arose, or (b) one hundred dollars ($100).

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.


12. Indemnification

You agree to defend, indemnify, and hold harmless Coherive LLC and its owners, officers, and agents from any claim, demand, action, penalty, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or related to:

We may assume the defense of any matter subject to indemnification, at your expense, and you will cooperate with us.


13. Suspension and termination

You may stop using TextMyTask at any time by cancelling through Apple and deleting your account in the app.

We may suspend or terminate your account if you materially breach these Terms, if a mobile carrier requires it, or if we are required to by law. Where practical, we will tell you first and give you a chance to fix the problem. If we terminate you without cause, we will help you get any server-held records back.

Sections 5, 6, 7, 10, 11, 12, 14, and 16 survive termination.

15. Changes to these Terms

We may update these Terms. If a change is material, we will email the address on your account and update the date at the top before it takes effect. Continuing to use TextMyTask after that means you accept the updated Terms. If you do not accept them, cancel your subscription and stop using the app.


16. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in the Commonwealth of Massachusetts, and you and we each consent to that jurisdiction.

You and we each waive any right to a jury trial and agree that any dispute will be brought only in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding.


17. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us about TextMyTask. If any provision is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a sale or reorganization of the business.
